  • Representing a client before the National Bank of Slovakia in the procedure for granting a licence for the management of alternative investment funds and foreign alternative investment funds up to obtaining a licence for an asset management company (AIFM);
  • Establishment of the first European Venture Capital Fund (EuVECA) in the V4 countries and its registration with the National Bank of Slovakia;
  • Representation of a management company (AIFM) in proceedings for authorisation to keep a separate register of book-entry units;
  • Representation of the client before the National Bank of Slovakia in the procedure for granting a permit to provide investment services (licensing procedure for a securities dealer);
  • Tax advisory services on the transfer of a Slovak investment fund to a Luxembourg structure for a larger Slovak financial group;
  • Legal advice on the establishment and creation of retail investment funds (public special funds), including the preparation of complete fund documentation (statutes, sales prospectuses and KIIDs) and representation of the management company (AIFM) in the procedure for the authorisation of the creation of these funds;
  • Establishment, registration with the National Bank of Slovakia and subsequent continuous legal, tax and accounting advice to several sub-limit alternative investment funds, including the establishment of several SICAV funds;

  • Preparation of a tax-regulatory opinion for the Slovak Association of Asset Management Companies (SASS) in connection with the taxation of mutual funds in Slovakia;
  • Legal advisory services to foreign asset management companies (AIFM, UCITS managers) in setting up their distribution network and distribution of foreign alternative investment funds in Slovakia;
  • Tax advice to several financial institutions (asset management companies, payment institutions) in connection with the financial transaction tax;
  • Tax advisory services on taxation of so-called “redemption proceeds” from a Luxembourg investment fund for a well-known Slovak venture capital fund;
  • Tax advisory services in connection with the reorganisation of the regulated structure (AIFM + MIFID II) of a smaller foreign investment group, which has part of its management and several assets in Slovakia
  • Establishment of the second European Venture Capital Fund (EuVECA) in Slovakia and its registration with the National Bank of Slovakia;
  • Tax advice on taxation of income from Malta in the form of payments for redemption of so-called notes in a securitisation structure for a fund structure which had a number of Slovak investors;
  • Legal advisory services, including drafting complete documentation, on several private and public (with prospectus) bond offerings in Slovakia;
  • Legal advice to a crowdfunding platform on setting up its contractual documentation for arranging secured loans;
  • Tax and legal advisory services consisting in the analysis, design and structuring of several potential IPOs of Slovak companies on the Bratislava Stock Exchange;
  • Establishment of an independent financial agent;
  • Continuous tax and legal advice to the peer-to-peer platform in the conduct of its business and the potential overlaps of its activities into financial regulation;
  • Legal and tax assistance in establishing foreign fund structures for Slovak companies;
  • Drafting of AML documentation and ad hoc AML advice to obliged persons in the area of financial regulation;
  • Comprehensive legal, regulatory and tax advice on the creation of investor structures such as fund, bond, investment and other structures.
